Billionaire Falcone: no LightSquared bankruptcy (Reuters)

(Reuters) ? Hedge fund manager Philip Falcone is ruling out a bankruptcy filing for his telecom startup LightSquared Inc, one day after U.S. regulators said they planned to revoke approval for the company to build a national wireless broadband network.

"It is clearly not on our table," Falcone said in an email to Reuters on Wednesday when asked if LightSquared, the biggest investment in his Harbinger Capital Partners fund, was considering a bankruptcy filing.

He said there is a plan for dealing with the Federal Communications Commission's plan to rescind its permission for LightSquared to build out a land-based network, but he declined to offer any details.

LightSquared said the FCC's action had harmed it and the public by preventing construction of a network vital to U.S. competitiveness.

Industry analysts and some LightSquared investors say the telecom startup is running short of options with cash draining away and little chance of getting the FCC to change its mind. They also say it could be hard to find a buyer for LightSquared. Several suggested that a bankruptcy filing, while perhaps not imminent, is the likely outcome.

In a financial filing last year, LightSquared said it could run out of money by the middle of this year.

"A bankruptcy Chapter 11 filing seems inevitable," said a person with one of the hedge funds that owns some of LightSquared's more than $1 billion in outstanding debt. The person declined to be named because the situation is still fluid with LightSquared.

Tim Farrar, a veteran industry analyst and principal at TMF Associates, agreed but said a bankruptcy filing may not occur immediately. "Investors don't have leverage to force a filing right now," he said, adding that a final FCC ruling would strengthen the hand of investors to force it.

The FCC announced its decision late on Tuesday, minutes after the National Telecommunications and Information Administration said LightSquared's network would interfere with the Global Positioning System, vital to the military and with civilian uses ranging from airline navigation to irrigation.

Many telecommunication analysts have said it will be difficult for the financially-strapped company to either raise additional financing or ever become profitable with just the satellite-based portion of its network.

Its plan had been to build a high-speed wireless service so it could tap into the massive demand for data on devices like smartphones and tablet computers.

"We remain committed to finding a solution and believe that if all the parties have that same level of commitment, a solution can be found," LightSquared Chief Executive Sanjiv Ahuja said in a statement without tipping the company's next move.

HARBINGER SUFFERS

The fate of LightSquared also is critical investors in Falcone's hedge fund, which once controlled $26 billion in assets but is now down to about $4 billion. A little more than half of Harbinger's money is tied-up in LightSquared and the hedge fund is the company's single largest equity investor.

Last year, Harbinger, a fund known for its volatile returns with years of big losses often following year of big gains, gave up 47 percent of its value in large part because of a sharp markdown on the value of the LightSquared investment.

Falcone, an expert in distressed investing whose well-timed bet against the overheated housing market earned him a big following in the $2 trillion hedge fund industry, still has a prominent roster of investors. The list is said to include hedge fund legend George Soros, who declined to comment on the Falcone's current troubles.

For now, LightSquared's main business partner Sprint Nextel is sticking to its plan to give the company until the middle of next month to try and come up with a solution.

"We have an agreement with LightSquared that goes to March 15 to give LightSquared time to address the issues it's had with the FCC," Sprint spokesman Bill White said.

Sprint and LightSquared already decided at the end of last year to try and save money by shelving work on the network until the situation was clearer.

If Sprint scuttles the deal it could mean money coming back to LightSquared. "There is $65 million that would be returned to LightSquared to reflect work that was paid for (but) not carried out." White said.

LightSquared has argued that its network would help relieve a national wireless capacity shortage, in line with FCC goals to devote more airwaves to mobile services.

But the GPS interference and the FCC's subsequent decision may pose too great an obstacle to overcome, analysts said.

"While we could not commit to saying that it is the 'end of the road' for LightSquared, we believe it will be an extremely tough slog for the company to show value in the spectrum it holds," Wells Fargo analyst Jennifer Fritzsche wrote in a research note.

OPTIONS AND ALTERNATIVES

One route would be for LightSquared to consider suing the government if the FCC's final determination goes against the company after the comment period ends March 1.

"The odds are against (LightSquared) in being able to persuade the FCC that it is wrong," said Andrew Lipman, a partner who heads law firm Bingham McCutchen's telecommunications practice.

LightSquared would likely have to wait until the comment period is over before it could sue the FCC and such a case would likely take about nine months or more, the lawyer estimated.

Another way to deal with the GPS issues would be to arrange a spectrum swap with another carrier or company, a person close to LightSquared who is not authorized to speak publicly said.

A sale of LightSquared might also be possibility, one investor in Falcone's fund and other industry analysts have suggested, but they acknowledge that it might be tough to find a buyer.

"Right now (LightSquared is) in a world of hurt and the thing is it is toxic enough that no one wants to take it," said one telecommunications mergers and acquisitions expert who could not speak about the matter publicly.

This person added that companies like AT&T and Verizon have been interested in snapping up spectrum, but said buying LightSquared would not be a desirable way to do so, considering the complications around it.

The value of LightSquared's spectrum declines significantly if it cannot be used for cellular services, analysts have said.

For Falcone, the regulatory set-back is the latest in a string of problems dogging the 49-year old former Harvard hockey star who grew up in rural Minnesota but now lives on Manhattan's

Upper East Side in a townhouse once owned by Penthouse publisher Bob Guccione.

The U.S. Securities and Exchange Commission recently warned Falcone and some of his key lieutentants they face questions over whether they might have engaged in improper trading. Falcone has also faced investor anger over having failed to tell them that he took a loan from the fund to pay his personal taxes at a time they could not get their money out.

NEW YORK (AP) ? With the Super Bowl days away, federal authorities announced a crackdown Thursday on websites that stream unauthorized broadcasts of sports events just hours after New England quarterback Tom Brady told reporters in Indianapolis that he watched last year's game on an illegal site.

Investigators seized 16 sites and brought criminal charges against a Michigan man who controlled nine of them.

U.S. Attorney Preet Bharara warned sports fans in a release that piracy costs sports leagues and broadcasters millions of dollars, forcing increases in ticket prices and other costs to consumers.

His message came soon after Brady casually mentioned his own use of illegal websites during a news conference staged in preparation for the Super Bowl on Sunday between the New England Patriots and the New York Giants.

"Last year I was rehabbing my foot in Costa Rica, watching the game on an illegal Super Bowl website. And now I'm actually playing in the game. So, it's pretty cool," Brady said.

Web operator Yonjo Quiroa, of Comstock Park, Mich., was charged Wednesday with copyright infringement. Prosecutors said he distributed football, basketball and hockey games and wrestling matches.

Quiroa appeared in federal court in Grand Rapids, Mich., on Wednesday. He was held without bail while his immigration status was under review. Larry Phelan, his lawyer, declined to comment.

In court papers, authorities said Quiroa registered nine of the 16 seized domain names in 2010 and 2011 before operating the websites out of his home, collecting profits of at least $13,000 from online merchants who paid him to advertise on the sites.

Authorities said the prosecution was part of a continuing federal effort to target counterfeiting and piracy on the Internet.

Also in Indianapolis, federal authorities said they seized nearly $5 million worth of phony Super Bowl sportswear and merchandise in a nationwide sweep that was the result of a four-month investigation.

Officials from U.S. Immigration and Customs Enforcement and U.S. Customs and Border Protection said agents targeted stores, flea markets and street vendors that allegedly sold counterfeit game-related sportswear. Fake jerseys, ball caps, T-shirts, jackets and other souvenirs were among the 42,000 items confiscated in Operation Fake Sweep.

Authorities put the total take at more than $4.8 million, up from $3.7 million last year.

Also seized were counterfeit Major League Baseball, NBA and NHL items worth about $1.6 million.

Favorite part about cycling:

I love not being beholden to bus timetables! I decide when I?m leaving the house and I don?t have to wait to transfer. Also, parking a bike is so easy, as opposed to when I would drive to work (and it?s free!). I also love the exercise I get as an added benefit.

Bike(s) you ride:

Right now I mostly ride my new Brompton; in Philly I recently switched from my Surly Traveler?s Check to my mom?s old Peugeot that I converted to a 3 speed a couple years ago since it?s more upright.

What three words sum up your cycling experience while being pregnant:

Independence, healthy, easy.

?How did being pregnant affect your approach to cycling or your daily commute:

We found out I was pregnant the weekend that we moved from Baltimore to Philadelphia. I had already planned on using the Brompton and Amtrak to get to and from the office and to get around while in Baltimore 3 days a week. Fortunately during the first trimester I was feeling great and the commute was easy ? 15 minutes from my house in Philly to the train station, just over an hour on the train, and then another 15 minutes to the office. I really like that the Philly portion is 95% on the Schuylkill bike path ? it feels quite safe since there are no cars, but I found myself worrying a little bit about traffic in Baltimore. In the end cycling is the fastest and most convenient way to get around and my route in Baltimore is one that I?ve been doing for the last five years, so it feels familiar and relatively safe. I?d say that other than making sure I take the lane and making myself highly visible (yellow jacket, extra blinky) I use the same level of caution as before.

?What (if anything) surprised you about cycling while pregnant?

How easy it?s been!

?How did your family and friends react to you cycling while pregnant?

My husband is an avid cyclist and very supportive, but he?s been good about helping me think through alternative strategies if conditions aren?t great or once I get quite big. My family as well ? both my parents bike to their university jobs in a very-flat Midwestern college town, so while I?m sure they have concerns, they trust me. Now that I?m showing, a few people at work keep asking if I?m still biking ? one woman even said ?isn?t your balance off?? and while that may be true, it?s not in the side-to-side axis!

What (if any) special accommodations did you require to continue cycling throughout your pregnancy?

I did stop riding my ?racing? style bike to my appointments and around Philly once my belly got in the way; now I take the mixte or the Brompton.

?What would you say to another woman interested in cycling while pregnant? What have you taken away from the experience? ?

So far, cycling has been the best option for me to be mobile in my new commute ? much faster than waiting for the bus! As long as you?re confident about your cycling ability and your road safety precautions there?s no reason not to try it. But go with what is comfortable for you ? not everyone I know is comfortable cycling in Baltimore even when they?re not pregnant, but knowing which routes tend to have the fewest cars or where there are protected lanes or plenty of room can do wonders for your sense of security. Also, take the lane, signal and stay out of the door zone!

?In addition to cycling, what other activities helped you stay fit and active during your pregnancy?

I was running a bit at the beginning, and now at 23 weeks I?m doing weekly prenatal yoga. I walk our dog around a large park on most of the days that I?m home which is a great excuse to be outside and roaming.

Analysis: For Putin, tax reform could be harder than winning (Reuters)

MOSCOW (Reuters) ? Winning Russia's March presidential election could be the easy part for Prime Minister Vladimir Putin, who has called for a "decisive tax maneuver" to put the country's increasingly oil-dependent public finances on a more sustainable footing.

Although Russia, the world's largest energy producer, ran a fiscal surplus last year thanks to strong oil prices, the high and rising price at which the budget balances poses the real risk of a fiscal crisis in the next six-year presidential term.

"The Russian government needs to carry out a major budget consolidation over time," said Odd Per Brekk, the International Monetary Fund's resident representative in Russia. Without one, he warned, "Russia is much more exposed to an oil price shock."

Since 2006, the volume of government expenditures has risen by an average of over 20 percent each year - double the rate of inflation. Their share of Russia's gross domestic product has rocketed from 29 percent to 39 percent.

That now places Russia in the same league as relatively high-spending, high-tax European economies rather than low-tax emerging markets such as China and India.

The challenge for Putin, assuming he takes office in May as appears highly likely, will be to squeeze revenues out of an economy that is already stuttering under a mounting tax burden.

The so-called "tax maneuver," aimed at reducing taxation on entrepreneurs by shifting it onto under-taxed sectors and activities, is one solution gaining favour among policy makers.

CRUSHING BURDEN

Putin stated the rationale for the tax maneuver in a 5,000-word newspaper article on Monday.

"We have reserves for increasing tax revenues in several directions: expensive property, consumption of luxury goods, alcohol, tobacco, the collection of rents in those sectors where it is currently low," he wrote.

Putin has borrowed the idea from Business Russia, a lobby group for small and mid-sized businesses that backs selective tax hikes - on oil and gas extraction, tobacco and alcohol and property - to finance business tax cuts.

"In Russia, those taxes that hinder development are either very high or very uncompetitive, and those taxes that don't hinder development are on the contrary very low," Alexander Galushka, president of Business Russia, told Reuters.

Business Russia's initiative reflects widespread discontent over high payroll taxes levied on employers to fund ballooning state outlays on pensions, healthcare and welfare benefits.

The government last year attempted to raise payroll taxes from 26 percent of employee salaries to 34 percent. Following a backlash from business, it scaled back the rate to 30 percent, but businesses complain that the tax is still crushingly high.

ROOM FOR MANOEUVRE

In contrast, some other taxes - such as the 13 percent flat-rate of income tax - are incongruously low.

Yet tax dodging remains a rampant problem, with around 40 percent of economic activity unreported to the taxman.

"If they set a higher rate for rich people, that will increase tax evasion," said Evsey Gurvich, head of the Economic Expert Group, which advises the finance ministry.

Officials are focusing instead on consumption taxes that are harder to evade. According to Business Russia, were Russia to raise its low excise duties on tobacco and alcohol to the European average, the government could raise an extra $35 billion in tax yearly.

The taxman now takes only 51 roubles ($1.70) on a half-liter bottle of vodka and 9 roubles on a packet of 20 cigarettes.

Business Russia also backs higher taxes on Russia's oil and gas sectors. "You're simply taking away rent - unearned income - which is fair from the point of view of the economy, and politically and socially just," argued Galushka.

Most analysts are skeptical over the potential to squeeze yet more tax out of the oil industry, where high taxes are widely blamed for curbing investment and stunting output growth.

But the case for upping the tax take from Gazprom, the state-controlled gas export monopoly, is more compelling.

Gurvich calculates that the gas sector's share of value added paid as tax, around 35 percent, is less than half the 80 percent level paid by the oil sector.

Closing that gap would raise an additional 1.5 percent of GDP - around $25 billion dollars per annum - in tax.

The discrepancy is even more obvious when looking at the taxes paid by the metals and mining sector, where the average tax take represents around 25 percent of profits.

"Oil is overtaxed, metallurgy is undertaxed, and the gas sector is in the middle," said Kingsmill Bond, chief strategist at Citigroup in Russia.

STIFF OPPOSITION

Russia may in practice have less wiggle-room than appears on paper.

Higher excise duties could backfire by hurting the pockets of ordinary Russians. They also face stiff opposition from the tobacco and alcohol lobbies, which argue that higher taxation would encourage counterfeit production.

Proposals to bring taxation of the gas and metals sectors closer into line with the oil sector would entail challenging even more powerful lobbies with good connections in government.

"There is substantial potential to increase taxation of the gas sector, but the political feasibility is not substantial," said Gurvich.

When it comes to metals, he said "only a minor increase is politically realistic," which would be "insignificant from the macroeconomic viewpoint."

Nor would property taxes produce a bonanza. Russia's slow-moving bureaucracy has struggled for years with the complicated preparations needed to register and value property holdings.

"It costs more to administer this tax than the tax collects. It collects very, very little," said Galushka.

FISCAL CONDUNDRUM

A more basic problem is that simply shifting the tax burden will not address the root cause of Russia's fiscal conundrum: ever-rising government spending.

"The government should focus primarily on raising the efficiency of public expenditure," said Gurvich. "It concerns everything: public investment, public procurements, more focused social support, and pension reform."

Without a convincing answer to such problems, businesses are wary about planning more than a couple of years ahead, said Alexei Shestoperov, a researcher at Moscow's National Institute for System Studies of Entrepreneurship.

"The budget demands more and more resources and where are they going to come from? It's hard to understand," he said.

Has Madonna Given Up Acting For Good?

'W.E.' director tells MTV News she prefers directing because 'If I'm the actor, I'm just ... I'm a pawn.'

Madonna has given the whole thespian thing a try several times over. So, the idea of hitting the big screen again in front of the camera doesn't really appeal much to the "W.E." writer and director.

"No [I don't want to act], but I do [act] every day of my life," she told MTV News, before waxing a bit more philosophical about her future ambitions for a career on the big screen. "I like directing better," she further explained. "If I write it and direct it, then it's my voice. If I'm the actor, I'm just ... I'm a pawn."

As Madonna embarks on yet another chapter in her always-evolving career, she explains that she hopes that people will be able to love her for every project she's attached herself to in her decades-spanning career. "I'd rather not divide things up into categories, but I prefer the idea that people would say that I contributed to the culture, the zeitgeist from a female perspective as a musician, as a songwriter, as a filmmaker, in my political point of views of the issues that I've stood by and fought for," she said. "I hope that I consider all of these things to be a part of my body of work and I'd rather not go, 'Oh, she'll be remembered as a great filmmaker, a great songwriter.' "

"W.E." opens Friday and follows two parallel love stories. It focuses on the vintage, tabloid romance between American divorcée Wallis Simpson and King Edward VIII in the 1930s and the modern-day woman, Wally (played by Abbie Cornish), who becomes obsessed with their headline-making affair.

This Friday she also releases her first MDNA single, "Give Me All Your Luvin'," as well as its video. She's set to take the stage for the Super Bowl halftime show on Sunday with Nicki Minaj and M.I.A, who also appear on the track.

'Soul Train' Creator Dead in Suicide

Don Cornelius, the creator of the legendary television dance show Soul Train, is dead after officers responded to a 911 call to his Mulholland Drive, California home at 4 a.m. this morning, ET confirms.

A coroner pronounced him dead of a self-inflicted gunshot wound, the Associated Press reports.

He was 75-years-old.

Soul Train debuted in 1971 and changed the landscape of television. It was the longest-running, first-run, nationally syndicated program in television history.

Superstars that have appeared on the show include Aretha Franklin, Al Green, Stevie Wonder, Chuck Berry, Sting, Diana Ross and Jamie Foxx.

"I am shocked and deeply saddened at the sudden passing of my friend, colleague, and business partner Don Cornelius. Don was a visionary pioneer and a giant in our business," legendary record producer Quincy Jones tells ET in a statement. "Before MTV there was 'Soul Train', that will be the great legacy of Don Cornelius. His contributions to television, music and our culture as a whole will never be matched."
